Vertican Growth owns 100% of the shares of three subsidiaries Algamur SA, Wemblar Corp SA and Dukilu Trade SA, each with a specific purpose ranging from growing CBD/THC flowers, cannabinoid extraction and final CBD/THC products for both the local and foreign markets. Vertican Growth in this way controls the entire cycle from beginning to end, generating an advantage over other competitors by achieving a perfect follow-up of the quality of the product and at the same time a higher profit margin.

STRUCTURE VERTICAN HOLDING

Vertican Growth is a Canadian company that conducts its operations through its three sub-companies located in Uruguay, South America. Vertican Growth takes advantage of the country’s stable legal framework, the tax efficiencies of free zones, agro-industrial specialization and its global and local positioning as a center for the production and distribution of raw materials and finished cannabis products. Uruguay is a pioneer country in the cannabis industry as it was the first to legalize the entire spectrum of this planet in 2013.

Algamur S.A is in charge of the cultivation of medicinal cannabis plants in greenhouses, under strict health surveillance conditions and complying with GAP standards. This subsidiary develops two types of crops independently, one with a high CBD content and a THC content of less than 0.3% (according to the request of the end customer) and another crop with a high THC content (higher than 1% ).

Wemblar Corp. completes the second stage of the production chain by extracting the essential compounds from the dried flowers sold by Algamur SA and sent to the Parque de las Ciencias (free zone). Wemblar Corp will have a plant with the capacity to carry out in a first stage the extraction of 1.25 tons per month of dried flowers. Good manufacturing practices will be followed complying with the processes, infrastructure and machinery according to GMP -EU. This fact guarantees the traceability of all the batches to be produced in this company.

Dukilu Trade SA is the company in charge of the third and last stage of the process, which consists in the manufacture of pharmaceutical formulations for export, as well as the final packaging of the active pharmaceutical ingredients. The laboratory will have the authorization to verify compliance with GMP-EU and GLP standards. Full spectrum resin and high CBD and THC purified resin will be received from Wemblar Corp. SA. In both cases the products could be distributed as it is or diluted in appropriate substances such as extra virgin olive oil, coconut oil, hemp oil, MCT derived from coconut oil, propylene glycol.

Mr. Loinaz is a prominent international attorney and entrepreneur who has occupied various important public and private sector roles. He founded and took public Compagnie Mercosur Grecemar, a French based company with Uruguayan granite mining interests quoted on the Euronext.

Mr. Loinaz headed the development and implementation of the strategic initiatives which evolved Grecemar into a clean tech, solar energy-based company with a current market capitalization of over EUR 200 million..

Mr. Savio is a highly qualified scientist who, as CEO, will oversee all aspects of plant growth, production, extraction, compound formulation, and end -product creation. Mr. Savio leads the Groups research and development efforts and the development of pharmaceutical formulations.

Mr. Savio has an extensive formal and practical background in chemistry. He holds a Bachelor of Science in Chemistry (1986), certification as a Chemist Pharmacist (1988) and Ph.D. in Chemistry (1994). He is a graduate of the University of the Republic in Uruguay and has completed specialization internships in France at the University of Clermont Ferrand as a member of the faculty of Pharmacy (1992), the United Kingdom at the University of Nottingham where he served at the Queens Medical Center, in Sweden at Uppsala University (2009), and in Finland at the University of Turku’s University Hospital (2012).

Christopher Gulka, CPA, CA, CFA, has over 30 years of experience in the capital and public markets.  Mr. Gulka founded Working Capital Corporation in 1999, a corporate finance firm specializing in the areas of valuations, due diligence, corporate finance, and management consulting. Mr. Gulka was most recently the CFO and Director of Inner Spirit Holdings Ltd. (CSE:ISH) (OTCQB:INSHF), a retailer and franchisor of Spiritleaf recreational cannabis stores across Canada, which was acquired by Sundial Growers Inc. (NASDAQ: SNDL) for approximately $130 million.  Mr. Gulka has been a director and CFO of many public companies over the years in many sectors, including mining, oil & gas, cannabis, and industrial.  Formerly, Mr. Gulka was employed as a Financial/Securities Analyst at the Alberta Securities Commission, and staff accountant at Ernst & Young.  Mr. Gulka holds a Bachelor of Commerce with Distinction from the University of Alberta (1990) and the professional designations of Chartered Financial Analyst (CFA) and Chartered Professional Accountant (CPA).

Miguel Loinaz D´Isabella

An attorney by profession, Mr. D’Isabella is the architect of the Group’s business model and is responsible for the development of overall business strategy. As an independent entrepreneur Mr. D’Isabella, founded Madapark, S.A., a Uruguay based cryptocurrency automatic teller machine business. He is also the legal director and managing director of Blu Image S.R.L., a Uruguay based software development and image processing company. Previously, Mr. D´Isabella worked as a financial advisor at Fort Box, a Uruguayan safety deposit company.

In addition to his duties at Vertican, Mr. D’Isabella is a lawyer with ALS Global Law and Accounting, the firm established by Mr. Loinaz.

Mr. D´Isabella holds a Juris Doctor from the Universidad de la Empresa, Montevideo, Uruguay and is a member of Legal Mondo, Libralex, and the International Lawyers Association, internationally recognized law firm networks.

Mr. Sellanes has worked extensively in the area in the area of organic chemical synthesis, as well as in pharmaceutical and medicinal chemistry.

He has been the head of a pharmaceutical laboratory, participating in the production of peptide active pharmaceutical ingredients.

Currently, he is director of the company Siquimia, where projects are carried out for the synthesis of chemical compounds, isolation, purification and analysis of secondary metabolites from different plant species, for the pharmaceutical, cosmetic and food industries.

A pharmaceutical Chemist with 30 years of expertise in comprehensive pharmaceutical quality management, Mr. Batalla has worked in the areas of Pharmaceutical Chemistry, Cosmetics, Analysis and veterinary products in addition to 11 years as a researcher at the University of Uruguay’s School for Chemistry where he specialized in organic synthesis of drugs and the synthesis of radiopharmaceuticals.

Mr. Batalla will be in charge of quality control as well as the overseeing the extraction and fragmentation processes for compounds that are developed by the company.

Helena Pardo

Ms. Pardo is responsible for R&D. She has worked extensively in the the study, development, synthesis, modification and characterization of bio and nanomaterials, such as micro and nanoencapsulation systems for biologically active compounds, biopolymeric systems, carbonaceous nanosystems and tissue replenishment materials. This work has a special emphasis on the generation of products of technological interest for applications in various areas, such as cosmetics, medicine, food, pharmaceuticals, among others.

Ms. Pardo will be in charge of R&D development in the control and implementation of pharma products.
